Terms of Service

By accessing or using the Services, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. These Terms form a binding agreement between you and VISIQ LABS LLC.

VisIQ provides runtime authorization and data-governance infrastructure for enterprise AI agents. We may add, change, or remove features at any time, and we may set limits on certain features or restrict access to parts of the Services without notice or liability.

You are responsible for the accuracy of your account information, for maintaining the security of your credentials, and for all activity under your account. We strongly recommend enabling multi-factor authentication. Notify us immediately of any unauthorized use of your account.

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Services or related systems;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer or copy the Services except as permitted by law; or
• Use the Services to transmit unlawful, infringing, or harmful content.

If you enable SMS-based two-factor authentication (2FA), you agree to the following terms for the text messages you receive from VisIQ. These are transactional account-security messages; VisIQ does not send marketing or promotional texts.

The Services, including all software, content, and trademarks, are owned by VISIQ LABS LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. You retain ownership of the data and configuration you submit to the Services.

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, VISIQ LABS LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our aggregate liability for any claim relating to the Services will not exceed the amounts you paid to us in the twelve months preceding the claim.

We may suspend or terminate your access to the Services at any time for violation of these Terms or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

We may update these Terms from time to time. We will revise the "Last updated" date above, and for material changes we will give you reasonable advance notice (for example, by email or an in-product notice) at least 30 days before they take effect, except where a change is required by law or to address a security or legal risk. Changes apply going forward only and will not be applied retroactively. If you do not agree to a change, you may stop using and close your account before it takes effect; if you continue using the Services after the effective date, the updated Terms apply.

The Services use artificial intelligence (AI) and machine-learning models to deliver their features. To provide those features, we process the data you and your organization submit ("Customer Data") through AI systems, including trusted third-party model providers we engage as sub-processors. By using an AI-powered feature, you authorize and instruct us to process the relevant Customer Data through AI for the sole purpose of providing that feature to you. We will not process your Customer Data through AI for any other purpose.

You own your data; we take only a limited license. You retain all right, title, and interest in your Customer Data and in the outputs the Services generate for you. You grant VISIQ LABS LLC only a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your Customer Data, and to generate the outputs you request, solely to provide, maintain, secure, and support the Services for you and your organization. This license exists only to operate the Services for you; it ends when your Customer Data is deleted or your account is closed (except for limited backups and any retention required by law); it does not permit us to use your Customer Data to develop or train separate products or models, for advertising, or for any other purpose; and we grant no sublicense to it except to the sub-processors who help us operate the Services under equivalent restrictions. We will never sell your Customer Data.

AI output may be imperfect. Because the Services rely on AI, their outputs — including assessments, summaries, classifications, and recommendations — may be inaccurate or incomplete and are provided for your evaluation. You are responsible for reviewing AI-generated output and exercising your own judgment before relying on it, and you should not treat it as professional, legal, or security advice. To the extent permitted by law, the AI features are provided on the "as is" and "as available" basis described in the Disclaimers section.
